If you have any questions regarding this Privacy Notice and/or our datapractices, please contact us. By visiting, accessing, or using any of ourServices (as defined in Section 1 below), you acknowledge and agree that youhave received and reviewed this Privacy Notice.

We may update this Privacy Notice as described in Section 3 (Changes tothis Privacy Notice). Please also review our Terms of Use, which applyto your use of our Services. Terms defined in the Terms of Use have the samemeaning in this Privacy Notice unless specified otherwise.

1. Vease Services and Scope of the Privacy Notice

Vease Services

Vease owns, operates, and provides:

  • Our “Sites” located at https://vease.ai, its subdomains, and any other sites that include an authorized link to this Privacy Notice; and
  • The Vease business management software platform (the “Platform”).

When we refer to “Services” throughout this Privacy Notice, we mean, collectively, the Sites, the Platform, and any other sites, services, and/or applications provided by us that include a link and/or reference to this Privacy Notice, including any new features or services provided in connection with them.

Scope of this Privacy Notice

This Privacy Notice applies to personal data that may be collected, received, and processed by us related to:

  • “Visitors” who browse or use our Sites or interact with us through our social media pages or feeds (e.g., LinkedIn, Twitter/X, and Meta platforms).
  • “Customers” who have entered into terms of use, terms of service, or other agreements with Vease for the use of the Platform (the “Customer Agreement”) and, where applicable, their employees, contractors, agents, or representatives authorized to use the Platform (“Authorized Users”).
  • All other users of the Services, whether registered or unregistered (collectively with Visitors, Customers, and Authorized Users, “Users”).

“Personal data” means any information about an individual from which that person can be identified (e.g., name, phone number, email address, IP address). It does not include anonymous or de-identified data where the individual’s identity has been permanently removed.

2. Important Notice Regarding Information Controlled by Our Customers

Our Customers control the collection, use, and processing of personal data and other information submitted, uploaded, and/or otherwise provided in connection with their use of the Services, which may include personal data relating to Authorized Users. This personal data is collected and processed by Vease on behalf of the Customer, in accordance with the Customer Agreement.

Under relevant data protection laws, Vease acts as a “data processor” or “service provider” on behalf of the applicable Customer, who is the “data controller” or “business”. Our Customers determine their own policies for handling personal data, and Vease does not control our Customers' policies or the way they handle personal data.

Except where a specific reference to an Authorized User is expressly stated in this document, this Privacy Notice does not apply to the personal data of Authorized Users that we process on behalf of our Customers. If you are an Authorized User, you are responsible for reviewing the policies, including any privacy policies, of the relevant Customer.

If you have questions about how a Customer processes your personal data or if you wish to exercise a data rights request as applicable under relevant data protection legislation, please contact the applicable Customer. Please note that if you submit any request to us, we will forward it to the applicable Customer.

3. Changes to this Privacy Notice

Vease reserves the right to update or modify this Privacy Notice at any time. Except for material changes as described below in this Section, all updates and modifications to this Privacy Notice will be effective as of the day they are posted on our Privacy Notice page.

If we make material changes to this Privacy Notice, we will provide reasonable notice before such change takes effect by sending a notification to the email address we have on file for you, and we may also post a prominent notice about any such changes on our Sites. Material changes to this Privacy Notice will become effective on the date set forth in the notice, and all other changes will become effective as of the day they are posted on our Sites.

It is your responsibility to regularly visit and review this Privacy Notice. If you do not agree with any updates or modifications to the Privacy Notice, please cease all use of the Services. Your continued use of the Services, or, if you are a Customer, by any of your Authorized Users, after the effective date of the revised Privacy Notice, signifies to us that you acknowledge and agree to be bound by the revised Privacy Notice.

4. Information We Collect

We collect information provided directly by Visitors, Customers, and Users, as explained in the section Information Provided Directly by Users, and in certain circumstances, we automatically collect certain information when accessing or using the Services, as explained in the section Information Collected Automatically. Additionally, we may receive personal data from third-party sources, as described in the section Information Collected from Third-Party Sources.

a. Information Provided Directly by Users

The personal data we collect in connection with the use of the Services depends on how and why you use the Services. For example, the information we may process about Visitors is more limited than the information we may process if you are a Customer. Please note that you may choose not to provide personal data directly to us or not to use the Services. However, some personal information is necessary for us to provide you with the Services you have requested. Failure to provide this information may prevent us from offering access to our Services.

  • Account Data: If you register an account for the Services (“Account”), we will collect contact and other information, such as your name (first and last), email address, phone number, business address, your employer's name, your occupation, and/or profession.
  • Login Credentials: When you log in to your Account as a registered user, we collect your username, password, and/or other login credentials.
  • Customer Content: We collect and process the data, texts, images, recordings, videos, materials, and other information submitted, uploaded, and/or otherwise provided by or on behalf of Customers and/or Authorized Users in connection with the use of the Services (collectively, “Customer Content”). Customer Content is controlled by our Customers, and we collect and process this information solely on behalf of the applicable Customer, in accordance with the Customer Agreement entered into with that Customer.
  • Payment Transaction Information: If you purchase access to the Services, we may collect certain limited payment information (e.g., partial payment or credit card information, and limited transaction information, such as the date of purchase). Vease does not directly collect or store any payment information. Payment information (including the limited information we receive described here) is collected and processed by our third-party payment processors. For more information, please see the Payment Processors section of this Privacy Notice.
  • Contact Information: Contact information, such as first and last names, and/or email addresses collected through our registration forms to receive our marketing communications and/or newsletters.
  • User Submissions - Surveys, Feedback, Communications, and Support: We collect the information, data, content, documents, and/or materials that you provide or submit to us when you fill out forms, respond to surveys, or contact us (such as your feedback, support requests, or other communications with us).
  • Usage Data: We collect Usage Data as described below in the section titled Information Collected Automatically.

Please be aware that we may ask you to update your information from time to time to keep it accurate. Additionally, if you provide personal data to us about another person, you must ensure that you are authorized to disclose that information to us and that, without us needing to take any further steps required by data protection laws, we may collect, use, and disclose such information for the purposes described in this Privacy Notice. For example, you must ensure that the person in question is aware of the terms detailed in this Privacy Notice and that they have not objected or do not object to you sharing their information with us.

b. Information Collected Automatically

When you visit, use, or interact with the Services, we may receive the following information about your visit, use, or interactions (collectively, “Usage Data”). Typically, this data is transmitted and collected automatically (without action on your part) using cookies and similar technologies, as described in Section 4 below.

  • Log Data: Information that your browser or device automatically sends when you use our Services. Log data includes your Internet Protocol (IP) address, browser type and settings, the date and time of your request, and how you interact with our Services.
  • Usage and Analytics: Information and analytics about your use of the Services, such as the types of content you view or interact with, the features you use, and the actions you take, as well as your time zone, country, dates and times of access, user agent and version, type of computer or mobile device, your computer connection, searches and other actions you perform, websites, applications, and/or advertisements that referred you to the site, advertising preferences, and language.
  • Device Information: Information about the device used to access the Services, which may depend on the type of device you use and its settings, but generally includes device name, operating system, system configuration information, device identifiers, and the browser you are using.

c. Information Collected from Third-Party Sources

In some instances, we process personal data from third parties, which consists of:

  • Our Customers: We may receive personal data from our Customers. For example, we receive Customer Content, which may contain personal data, and we may receive other information from our Customers about their Authorized Users. We use this information to provide the Services to the Customer, in accordance with the Customer Agreement.
  • Service Providers: We receive information from third-party service providers, as described in Section 9.a below (“Service Providers”), who assist us in the operation, provision, administration, and management of the Services, such as our cloud or hosting service providers, customer support providers, and our analytics providers.
  • Third-Party Integrations: If you use products, services, software, content, and/or features (including, without limitation, data products and services) that Vease has integrated and/or made accessible for use through our Services (collectively, “Third-Party Integrations”), we may receive information about you from the providers of such Third-Party Integrations or through the integration related to your use of them in connection with our Services.
  • Other Third Parties and Sources: We may receive data and information from third-party partners and/or other licensors and/or data providers with whom we have a relationship and/or information collected from publicly available sources, such as online business profiles, social media accounts, and/or web pages, which may include your name or a publicly available business address, and activity related to those profiles, social media accounts, and/or web pages.
  • Social Media Networks: If you interact with us through any Social Media Platforms, we may collect information such as your name, username, demographic information, contact information such as email address, location, interests, and publicly posted data, such as your social media activity.

d. Aggregated or De-identified Data

With the personal information and other data (including Usage Data) collected by us, we may aggregate or de-identify such data and information so that it can no longer be used to identify you. We use this information to analyze the effectiveness of our Services, improve and add features to our Services, conduct research, and for other similar purposes. Additionally, from time to time, we may share or publish aggregated information, such as general user statistics, with third parties. We collect this information through the Services, through cookies, and by other means described in this Privacy Notice. We will maintain and use de-identified information in anonymous or de-identified form and will not attempt to re-identify the information unless required by law.

5. Cookies and Similar Technologies

We or authorized third parties or agents may collect certain information through automated means using cookies and/or similar technologies, such as web beacons, embedded scripts, pixels, and browser analysis tools (collectively, “Cookies”). Cookies collect information such as Usage Data. We may also use third-party advertising partners (e.g., Google, Bing, LinkedIn, and Meta) that use targeting/advertising Cookies to deliver advertisements that are more relevant to you and your interests. They are also used to limit the number of times you see an advertisement, as well as to help measure the effectiveness of advertising campaigns. Typically, they are placed by advertising networks with the website operator's permission. They remember that you have visited a website, and this information is shared with other organizations, such as advertisers.

a. Types of Cookies

  • Session and Persistent Cookies
    • Session Cookies – A session Cookie is temporary and allows you to navigate from one page to another within our Services, in addition to maintaining the information you have entered. A session Cookie is deleted when you close your browser or after a short period.
    • Persistent Cookies – A persistent Cookie remains in your browser and will be read by us when you return. A persistent Cookie helps us recognize you as an existing user, making it easier for you to return and interact with our Services.
  • First and Third-Party Cookies
    • First-Party Cookies – First-party Cookies are stored directly by the website (or domain) you are visiting. These Cookies may be set by us or by a service provider at our request.
    • Third-Party Cookies – Third-party Cookies are created by domains that are not the website (or domain) you are visiting. Generally, they are inserted into a website through the addition of scripts or tags. A third-party Cookie is accessible on any website that loads the code from the third-party server.

b. Information Collected by Cookies

Cookies collect different types of information depending on the type of cookie and its purpose. Some examples of information that may be collected by cookies when using our Services include:

  • The pages you visit within our Services;
  • The buttons you click on our Services;
  • The date and time you visit our Services;
  • The time you spend on our Services;
  • The Internet Protocol (“IP”) address used to connect your computer/mobile device to the internet; and
  • Information about your device (such as computer, mobile phone) and connection, such as browser type and version and operating system.

c. Categories of Cookies Used

We, or third parties acting on our behalf, use the types of cookies identified above in the following ways:

  • Strictly Necessary – These cookies are essential because they allow our Services to function properly and cannot be deactivated. Without these cookies, some of our Services cannot be provided. These cookies do not collect information about you for marketing purposes. For example, strictly necessary cookies are used to:
    • Control consents across the website domain.
    • Remember the information you fill in when performing certain activities within our Services.
    • Pass information from one page to another, for example, when filling out support forms.
    • Provide the Services in accordance with your preferences.
    • Read your browser and device settings to optimize the display of our Services.
    • Locate and identify misuse of the Services.
    • Load our Services uniformly to maintain accessibility.
    • Authenticate users and prevent fraud.
  • Functional Cookies – These cookies allow the website to remember choices you make (such as your username, language, or region you are in) and provide enhanced, more personalized features. These cookies may also be used to remember changes made to text size, fonts, and other parts of the web pages that you can customize. The information these cookies collect may be anonymous and they cannot track your browsing activity on other websites. For example, we use functional cookies to:
    • Offer a personalized experience, such as remembering how you customized our Services.
    • Remember information you fill in when performing certain activities within our Services.
    • Store your preferences, such as language.
  • Performance/Analytics Cookies – These cookies collect information about how visitors use and interact with the Services, in addition to the performance of our Services—for example, which pages visitors access most frequently, the content you view, the interaction rate with content, the sites you visit immediately before and after accessing our Services, your system and some geographical information, as well as any error messages issued when accessing or interacting with the pages or features within our Services. This category does not include cookies used for behavioral/targeted advertising networks. For example, we use performance/analytics cookies to:
    • Maintain, operate, and continuously improve the Services.
    • Monitor the number of visitors to pages within our Services.
    • Monitor the time each visitor spends on pages and/or features of our Services.
    • Determine the order in which a visitor accesses the various pages or features of our Services.
    • Determine the website a visitor was on before navigating to our site and the website they are going to access immediately after leaving our site.
    • Identify performance issues with our Services.
    • Evaluate which parts of our Services need improvements.
    • Obtain information from our email newsletters or other communications we send you, including whether you opened or forwarded a newsletter or clicked on any of its content, which tells us about the effectiveness of the newsletters and helps us ensure we are sending information that you find interesting.
  • Targeting/Advertising Cookies – These third-party cookies are used to serve advertisements that are more relevant to you and your interests. They are also used to limit the number of times you see an advertisement, as well as help measure the effectiveness of advertising campaigns. Typically, these targeting/advertising cookies are placed by advertising platforms that work with other organizations to provide personalized experiences to you. Targeting/advertising cookies used on our site may be used to:
    • Advertise our products and services on the internet.
    • Track the performance and effectiveness of our advertising campaigns (e.g., tracking how many visitors click on the advertisement or how you interact with the advertisements we provide).
    • Improve reporting on campaign performance.
    • Personalize our marketing to better meet your needs and display only advertisements that are relevant to you.
    • Control which advertisements have already been displayed to you so that you do not always see the same advertisements.

6. Payment Processors

Vease does not directly collect or store your payment information. We use PCI-compliant third-party payment processors to collect and process payments on our behalf. Our payment processors may provide us with limited information to confirm the transaction. The information collected by these third-party payment processors is subject to the privacy policy of the respective payment processor. You should review the applicable privacy policy before submitting any information to third-party payment processors.

7. Children's Privacy

Vease does not direct the Services to individuals under the age of 18, nor does it knowingly collect personal data from individuals under the age of 18. Therefore, we ask that you do not provide us with personal data of individuals under 18. If we become aware that personal data from individuals under the age of 18 has been collected on or through the Services, we may disable the Account or otherwise terminate access to the Services and/or make the information inaccessible.

8. Sensitive Data

Vease does not require you to provide sensitive data regarding your race or ethnicity, religious or philosophical beliefs, sex life, sexual orientation, political opinions, trade union membership, health and genetic data, or biometric data in order to use the Services.

9. Purposes for Collection and Use

Depending on whether you are a Visitor, Customer, or User, and how you use or interact with the Services, Vease processes personal data for the following purposes:

Providing, Personalizing, and Improving our Products and Services

  • Hosting the Websites and the online aspects of the Services.
  • Executing and providing the Services to our Users.
  • Enabling access to Third-Party Integrations that you use in connection with the Services.
  • Maintaining, enabling, updating, improving, and/or enhancing the Services, and developing new functionalities, features, and/or other products and services.
  • Conducting analytics related to the Services, such as understanding how they are being used and where improvements may be needed.
  • Personalizing our Services, such as remembering your information so that you do not have to re-enter it during your visit or the next time you access the Services.
  • Detecting any fraudulent or illegal activity against Vease, you, and our other Users.

Marketing our Products and Services

  • Providing personalized advertisements, content, and information about our Services, where and as permitted by applicable law.
  • Sending direct marketing communications to you about our products and services that we believe may be of interest to you.

Communicating with Users

  • Responding to your inquiries and requests, or communicating directly with you.
  • Keeping you updated on changes to policies related to the Services (including this Privacy Notice).

Meeting Legal Requirements and Enforcing Legal Terms

  • Complying with a legal or regulatory obligation (for example, maintaining records of our sales for tax compliance) and investigating security incidents.
  • Protecting the rights, property, or safety of you, Vease, or another party.
  • Responding to regulatory bodies when legally required (for example, responding to a valid court order).
  • Enforcing our rights in accordance with our contracts and agreements.

10. Data Sharing

In addition to disclosing your information to our employees, contractors, and agents who are authorized to process the information to provide the Services and who are committed to confidentiality, we disclose your personal data only to the third parties described below:

a. Service Providers

We share personal data with our Service Providers who assist us in the operation, provision, administration, and management of the Services, and to operate our business. Depending on how you use the Services, the following categories of third parties collect or receive personal data on our behalf as our Service Providers:

  • Hosting providers;
  • Internet service providers;
  • Analytics providers;
  • Marketing and advertising providers;
  • Payment processing providers;
  • Business operations and communication tool providers;
  • Other third-party service providers who assist us in providing features and functions for the Services (for example, customer support providers); and
  • Professional service providers, such as auditors, lawyers, consultants, accountants, and insurers.

To obtain a list of all Service Providers we use, please contact us at support@vease.ai. We require all Service Providers to respect the security of your personal data and to treat it in accordance with the law.

b. Third-Party Integrations

When you interact with and/or use Third-Party Integrations, certain information may be exchanged between Vease and the applicable Third-Party Integration provider. Please note that the Third-Party Integrations you choose to interact with and/or use, and their providers, are not our service providers. The applicable providers of Third-Party Integrations may use personal information differently than we do, and we do not control their use of your information. Please review the privacy notices of the Third-Party Integrations you use in connection with the Services.

c. Business Transfers

We may also share data with third parties to whom we choose to sell, transfer, or merge parts of our business or our assets. Alternatively, we may seek to acquire other businesses or merge with them. If a change happens to our business, the new owners may use your personal data in the same way as described in this Privacy Notice.

d. Affiliates and Subsidiaries

The personal data we collect about you may be shared with Vease employees, contractors, and agents, and our affiliated entities and subsidiaries (“Affiliates”) who are involved in providing or improving the Services we offer you. We require Vease employees, contractors, and agents, and those of our Affiliates, to ensure the security and confidentiality of your personal data and to act on such personal data only in a manner consistent with this Privacy Notice.

e. Legal Obligations and Safety

  • Regulatory and Government Bodies – Compliance with the Law: We may disclose your information to regulatory agencies and official government bodies as necessary to comply with or satisfy any laws, rules, or regulations applicable to Vease.
  • Necessary Disclosures – Responding to Legal Orders: If we are required to disclose personal data by law, such as in compliance with a subpoena, warrant, or other court or administrative order, our policy is to respond to requests that are properly issued by judicial authorities in Brazil. In these circumstances, unless prohibited by applicable law, we will attempt to provide you with prior notice that a request for your personal data has been made, in order to give you an opportunity to contest the disclosure. We will attempt to provide this notice by email, if you have provided us with an email address. However, government requests may include a non-disclosure order granted by the court, which prohibits us from giving notice to the affected individual. In cases where we receive a non-disclosure order, we will notify you when it expires or as soon as we are authorized to do so. If you are an Authorized User of a Customer, please refer to the relevant Customer to learn more about how they respond to requests for information in compliance with legal orders.
  • Exigent Circumstances and Enforcement/Protection of Our Rights: Your information, including the content of all your online communications on our Services and between you and Vease, may be accessed and monitored as necessary to provide our Service and may be disclosed to law enforcement authorities, regulatory agencies, official government bodies, and other third parties, as we believe, at our sole discretion, to be necessary or appropriate:
    • To enforce our rights under our Terms of Service Agreement, and any other terms of use, terms of service, customer agreements, and/or any other terms and conditions applicable to the use of the Services;
    • In connection with an investigation of fraud, intellectual property infringement, piracy, or other illegal activity or activity that may expose us or our affiliates, partners, and/or agents to legal liability;
    • and/or
    • If we receive information that provides us with a good faith belief that there is an exigent emergency involving danger of death or serious physical injury to a person.

f. With Your Consent

There may be situations where you will be asked to consent to share personal data with third parties for additional reasons not included in this Privacy Notice. In these cases, we will share such personal data only if we have received your prior consent and only for the purposes listed in the request to share that information. Except where otherwise required by applicable law, your consent for the use and/or disclosure of your personal data in specific situations will remain in full force and effect until you revoke that consent, which you can do by contacting us at support@vease.ai. For the avoidance of doubt, the revocation of consent will apply only to the use of information after our receipt and processing of that request (which we will process promptly and in accordance with applicable law), and not to any use or disclosure prior to that revocation in compliance with your consent.

11. Marketing Communications

If you have not opted out (or with your consent, where required by applicable law), or if you have opted in to receive direct marketing emails from us, we may use your personal data to send marketing information about Vease, our Services, new product launches, new service feature releases, and/or other products and services that we believe may be of interest to you.

We conduct direct marketing via email. If you no longer wish to receive marketing communications, you have the right at any time to opt-out, as explained in [Your Choices].

12. Your Choices and Rights

a. Accessing, Updating, and Correcting Personal Data

If you would like to access, update, and correct personal data, please contact us at support@vease.ai, and we will make reasonable efforts to correct and/or update such information. Please note that if you are an Authorized User, any request to correct, access, update, or delete your personal data must be directed to the applicable Customer.

b. Direct Marketing

You can manage the receipt of marketing and non-transactional communications sent by email by clicking on the "unsubscribe" link located at the bottom of any of our marketing emails. We will make commercially reasonable efforts to process such requests in a timely manner. Please note that you cannot opt out of receiving transactional emails or communications related to the Services (for example, support requests), which, for clarity, are not marketing communications.

c. Cookies and Targeted Advertising

You can manage your cookie and tracking preferences as described in our [Cookie Policy].

d. Additional Data Subject Rights

Additionally, if you are an Authorized User of a Customer that is a “controller” or “business” under the relevant data protection laws of the United States, you may have additional rights depending on the Customer’s location or where you reside. These rights may include the right to:

  • Access your personal data and information related to how it is processed.
  • Delete your personal data.
  • Rectify or update your personal data.
  • Transfer your personal data to a third party (right to data portability).
  • Restrict how your personal data is processed.
  • Withdraw your consent—at any time, when consent is used as the legal basis for processing.
  • Object to the way your personal data is processed.
  • Be informed about any automated decision-making and profiling based on your personal data.
  • File a complaint with your local data protection authority.

If you have questions about your applicable rights as a data subject, please contact the relevant Customer. As a “processor” or “service provider” for our Customers under relevant data protection laws, we will comply with their instructions and applicable legislation when responding to data subject requests in accordance with the Customer Agreement. Please note that if you submit a data subject request to us, we will forward it to the relevant Customer.

13. Data Retention

Personal data is processed for the period necessary to fulfill the purposes for which it was collected, to comply with legal and regulatory obligations, and for the duration of any period necessary to establish, exercise, or defend any legal right. Typically, we retain personal data about you as long as you have an Account with us or as necessary to provide our Services.

In some cases, we retain personal data for longer if necessary to comply with our [legal obligations], resolve disputes, or collect fees owed, or as permitted or required by applicable law, rule, or regulation. To determine the most appropriate retention periods for your personal data, we consider the amount, nature, and sensitivity of your information, the reasons why we collect and process your personal data, and the applicable legal requirements.

In some situations, we may choose to anonymize personal data instead of deleting it. When we choose to anonymize, we ensure that there is no way for the personal data to be linked to any specific individual. If you are an Authorized User of a Customer, please contact the relevant Customer regarding the Customer's data retention policies.

14. Data Security

We implement reasonable and appropriate security measures designed to prevent your personal data from being accidentally lost, altered, disclosed, used, or accessed in an unauthorized manner. For example, we may use encryption, firewalls, and password protection. Furthermore, we limit access to personal data solely to employees, agents, contractors, and third parties who have a business need to know such information. We also have procedures in place to handle any suspected data security breach.

However, no method of transmission over the Internet or method of electronic storage is 100% secure, and although we take reasonable steps to provide secure services, by using the Services, you understand and assume the risks associated with your activities on the internet. Additionally, we cannot control the actions of other Users with whom you may choose to share your information. Furthermore, even after the removal of information posted on the Services, caching and archiving services may have saved such information, and other Users or third parties may have copied or stored the information available on the Services. To the maximum extent permitted by applicable law, we cannot and do not guarantee that the information you post or transmit to the Services will not be viewed by unauthorized persons.

15. Third-Party Social Media Plugins

n the Services, we may provide third-party "share" buttons that allow you to share certain content through social media sites (for example, Facebook, Twitter, Instagram, YouTube, and LinkedIn). These "share" buttons may function as web beacons when you interact with them.
